1. Agreement to these terms
These Terms & Conditions ("Terms") are a binding agreement between you and Vistaar Intuitive Solution, registered office at 614 Nakshtra-VIII, S V Road, Rajkot, Gujarat, India ("Vistaar", "we", "us", "our").
By creating an account, signing in, or using Sentinel360 in any way, you accept these Terms and our Privacy Policy. If you do not accept them, do not use the app.
These Terms sit alongside a separate contract
Sentinel360 is supplied to organisations under a commercial agreement between Vistaar and that organisation. These Terms govern your individual use of the app. Where they conflict with the commercial agreement in force between Vistaar and your organisation, that agreement prevails as between Vistaar and the organisation.
These Terms also form the "end-user licence agreement" required by Google Play, and are in addition to the Google Play Terms of Service, which govern your acquisition of the app.
2. Definitions
- App
- The Sentinel360 mobile application for Android, in any version we make available.
- Client Organisation
- The company, plant operator, facility owner or security agency that has licensed Sentinel360 and enrolled you as a user.
- Administrator
- A person authorised by the Client Organisation to approve accounts, assign roles and manage records through the Sentinel360 web console.
- Records
- Any data created through the App — visitor entries, vehicle movements, employee gate punches, patrol logs, incident reports, shift and swap requests, photographs and free-text remarks.
- Service
- The App together with the Vistaar-operated servers, database and processing services it connects to.
- You
- The individual using the App under an account issued by a Client Organisation.
3. Eligibility and enrolment
Sentinel360 is enterprise software, not a consumer product. It is intended solely for use by personnel performing security or site-administration duties for a Client Organisation.
- You must be at least 18 years old.
- You must be employed by, contracted to, or otherwise authorised by a Client Organisation.
- You must have the legal capacity to enter into a binding agreement.
Registering an account does not by itself grant access. Every new account is created in a
pending state and is blocked from all functionality until an Administrator activates
it and assigns your role and site. We may refuse or revoke any registration that is not
authorised by a Client Organisation.
4. Your account
Your account is personal to you and is the mechanism by which the App attributes actions to a person.
- Provide accurate registration details — your real full name, working phone number and correct employee code — and keep them current.
- Do not share your password, and do not let anyone else use your account. Every record you create is stamped with your identity and forms part of a security audit trail. Allowing another person to log entries under your name undermines that trail and may be a disciplinary matter for your employer.
- You are responsible for all activity under your account.
- Notify your Administrator and us immediately if you suspect your credentials have been compromised.
- Your Administrator may suspend or deactivate your account at any time, for example when you change role or leave employment.
To request deletion of your account, open Profile → Delete my account in the app or on the web console. Doing so raises a request that your Administrator reviews; your account is not deleted until they approve it, and you may withdraw the request from the same screen until then. The alternative routes, what is deleted and what your employer retains are set out on the Account & Data Deletion page and summarised at §13 of the Privacy Policy.
Your Administrator may decline a deletion request — for example where you still hold an active posting, or where an investigation is open. You will be told the outcome, and you can escalate under §8 of the Account & Data Deletion page.
5. Licence to use the app
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use one copy of the App on a device you own or control, solely to perform your duties for the Client Organisation.
This licence does not permit you to:
- copy, modify, translate or create derivative works of the App;
- reverse engineer, decompile or disassemble it, or attempt to derive its source code, except to the extent that applicable law expressly permits this despite this restriction;
- rent, lease, lend, sell, sublicense or otherwise make the App available to any third party;
- remove or obscure any proprietary notice;
- use the App for the benefit of any organisation other than the Client Organisation that enrolled you.
The licence terminates automatically when your account is deactivated or these Terms end.
6. Acceptable use
The App handles security records and other people's personal data. The following restrictions are not boilerplate — breaching them can compromise a site's security or another person's privacy.
6.1 You must not
- Create false, fabricated or knowingly inaccurate records, including logging a patrol checkpoint you did not physically visit, a gate movement that did not occur, or an incident that did not happen.
- Circumvent the checkpoint verification mechanism — for example by photographing, copying, relocating or reproducing a checkpoint QR code so that it can be scanned from elsewhere.
- Extract, copy, photograph, export or disclose Records — including visitor details, driver licence numbers, employee movements and photographs — to anyone outside the Client Organisation's authorised personnel.
- Use visitor or vehicle photographs for any purpose other than the security record they belong to, or publish them anywhere.
- Enter data about a person that you have no authority or lawful basis to collect, or capture a photograph of someone who has not been informed as required by the Client Organisation's procedures.
- Enter sensitive personal information — health, financial, caste, religious or political data — into free-text fields.
- Enter abusive, defamatory, harassing or unlawful content into any free-text field, including remarks, anomaly reports and swap reasons.
- Attempt to access records, sites or accounts you are not authorised to see, or probe, scan or test the security of the Service.
- Use automated means to access the Service, or interfere with its normal operation.
- Install the App on a rooted or otherwise compromised device, or use a modified build of the App.
6.2 Consequences
We may suspend or terminate your access immediately, without notice, for any breach of this section. Falsifying security records may additionally expose you to disciplinary action by your employer and to civil or criminal liability, including under the Information Technology Act, 2000 and the Bharatiya Nyaya Sanhita, 2023.
7. Accuracy and integrity of records
Records created in the App are operational security records. They may be relied on in incident investigations, insurance claims, regulatory inspections, employment proceedings and legal proceedings.
- You must record events accurately, completely and promptly, at the time they occur wherever practicable.
- The App maintains an audit trail of who created and last modified every record. This cannot be disabled and you should assume every action you take is attributable and reviewable.
- Certain registers — visitors, vehicles, employee gate movements and patrols — are deliberately shared across users at a site, so that a colleague on the next shift can complete what you started. Anything you enter into these registers is visible to other authorised users.
- Records belong to the Client Organisation, not to you and not to us. You have no right to retain or take copies of them after your access ends.
8. AI-assisted features
The App includes an AI-assisted vehicle scan that reads a registration plate from photographs and compares a vehicle's appearance at exit against its appearance at entry, flagging a possible plate swap or vehicle substitution.
These outputs are advisory, not authoritative
- The plate reading is text the model read from an image. It can be wrong — in poor light, at an angle, on a dirty or damaged plate. Always verify it against the physical vehicle before submitting. The field remains editable for exactly this reason.
- A mismatch flag is a prompt for a human check, not a finding of wrongdoing. It does not block a vehicle and must not be treated as proof of fraud.
- The absence of a flag is not a guarantee that nothing is wrong. The feature supplements a guard's judgement; it does not replace it.
- No decision about any individual is made automatically. Any action taken on the basis of a scan result is the decision of a person, and the responsibility of the Client Organisation.
We make no representation as to the accuracy, completeness or reliability of AI-generated output, and accept no liability for decisions taken in reliance on it. Vehicle photographs are transmitted to Google's Gemini API for this purpose — see §8 of the Privacy Policy.
9. Client organisation responsibilities
This section applies to the Client Organisation. If you are an individual user, it explains who is responsible for what.
| Responsibility | Owner |
|---|---|
| Lawful basis for collecting visitor, driver and employee data; issuing the required privacy notices and obtaining consent where needed | Client Organisation |
| Displaying notices at gates where photographs are captured | Client Organisation |
| Approving, provisioning and deactivating user accounts; assigning roles | Client Organisation (Administrators) |
| Accuracy and lawfulness of Records entered by its personnel | Client Organisation |
| Setting retention periods and responding to data-subject requests about its Records | Client Organisation |
| Operating and securing the Service infrastructure | Vistaar |
| Providing the App and applying security controls to it | Vistaar |
The Client Organisation warrants that it has all necessary rights, consents and authority for personal data entered into the Service by its personnel, and will indemnify Vistaar against claims arising from a failure to obtain them.
10. Privacy and personal data
Our handling of personal data is described in the Sentinel360 Privacy Policy, which forms part of these Terms. In summary: we act as a Data Processor for Records, on the Client Organisation's instructions; we do not sell personal data; the App contains no advertising or third-party analytics; and it does not collect location data.
You are handling other people's personal data every time you use the App. Treat it as confidential, collect only what the task requires, and follow your organisation's data-protection procedures.
11. Intellectual property
The App, the Service, and all software, design, text, graphics, logos, trade marks and documentation in them are owned by Vistaar or its licensors and are protected by Indian and international intellectual property law. "Sentinel360" and "Vistaar Intuitive Solution" are our marks; you may not use them without written permission.
Nothing in these Terms transfers any ownership to you. Records are not ours — they belong to the Client Organisation, which grants us only the limited rights needed to host and process them.
If you send us feedback, suggestions or improvement ideas, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation or attribution.
12. Availability and changes
- The App requires an active internet connection. It has no offline mode; where there is no connectivity, records cannot be created or read.
- We may modify, suspend or discontinue any feature at any time. We will give reasonable notice of material changes where practicable.
- We may release updates. Some updates are necessary for continued operation, and an outdated version may stop working.
- We do not guarantee uninterrupted or error-free availability. Maintenance, third-party outages and events beyond our control may interrupt the Service.
- Any uptime commitment is a matter for the commercial agreement with the Client Organisation, not these Terms.
Because the App has no offline mode, the Client Organisation must maintain a fallback procedure — such as a paper register — for recording gate movements during a connectivity or service outage. Do not treat an outage as authority to stop recording.
13. Third-party services
The Service is built on third-party infrastructure, including Google Firebase (authentication and database), Google Cloud Run (hosting) and the Google Gemini API (vehicle scan). Your use of the App is therefore also subject to those providers' terms. We are not responsible for the acts, omissions, availability or content of third-party services, and their failure may affect the Service.
14. Disclaimer of warranties
THE APP AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY DATA — INCLUDING AI-GENERATED PLATE READINGS AND VEHICLE COMPARISONS — WILL BE ACCURATE OR COMPLETE.
SENTINEL360 IS A RECORD-KEEPING AND WORKFLOW TOOL. IT IS NOT A LIFE-SAFETY SYSTEM, AN ALARM SYSTEM, OR A SUBSTITUTE FOR TRAINED SECURITY PERSONNEL, PHYSICAL ACCESS CONTROL, OR EMERGENCY SERVICES. DO NOT RELY ON IT ALONE TO DETECT, PREVENT OR RESPOND TO A SECURITY INCIDENT, INTRUSION, FIRE OR OTHER EMERGENCY.
Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VISTAAR AND ITS DIRECTORS, EMPLOYEES, AGENTS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE APP OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY THEFT, INTRUSION, TRESPASS, PROPERTY DAMAGE, INJURY OR OTHER SECURITY INCIDENT OCCURRING AT ANY SITE, WHETHER OR NOT THE APP RECORDED, FAILED TO RECORD, OR FAILED TO FLAG IT.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID TO VISTAAR IN RESPECT OF YOUR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) [INR 10,000].
These limits do not apply to liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or to any liability that cannot lawfully be limited. As an individual user you pay nothing for the App; commercial remedies are a matter for the agreement between Vistaar and the Client Organisation.
16. Indemnity
You agree to indemnify and hold harmless Vistaar and its directors, employees and agents against any claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your misuse of the App or the Service; (c) Records you create that are false, unlawful or infringe another person's rights; or (d) your unauthorised disclosure of personal data obtained through the App.
17. Suspension and termination
By us
We may suspend or terminate your access immediately and without notice if:
- you breach these Terms, particularly §6 (Acceptable use) or §7 (Accuracy and integrity of records);
- your Client Organisation instructs us to, or its agreement with us ends;
- we reasonably suspect fraudulent, unlawful or security-compromising activity;
- we are required to by law.
By your organisation
An Administrator may suspend or deactivate your account at any time, at its discretion.
By you
You may stop using the App at any time and request account deletion from Profile → Delete my account, or by the alternative routes on the Account & Data Deletion page. Raising the request signs you out immediately; the account itself is closed when your Administrator approves it.
Effect of termination
Your licence ends and access ceases immediately. Records you created remain with the Client Organisation and are not deleted with your account — they are its property and part of its security register. Your name is removed from them and displayed as "Former user". Sections 7, 10, 11, 14, 15, 16, 18 and 19 survive termination.
18. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws principles.
Resolution steps
- Talk to us first. Write to info@vistaarintuitivesolution.com. We will try in good faith to resolve the matter within 30 days.
- Arbitration. If unresolved, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue shall be [city], India, and the language shall be English. The award shall be final and binding.
- Courts. Subject to the above, the courts at [city], India shall have exclusive jurisdiction.
Nothing prevents either party from seeking urgent interim relief from a court of competent jurisdiction.
19. General
- Changes to these Terms. We may update these Terms. The version and date at the top of this page always reflect the current version. Material changes will be notified through the App or to your Client Organisation, and continued use after they take effect means you accept them.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us on this subject, and supersede any prior understanding.
- Severability. If any provision is held invalid or unenforceable, the remainder continues in full force.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for failure to perform due to events beyond its reasonable control.
- No third-party rights. Except for Vistaar's affiliates and licensors, no third party has rights under these Terms.
- Language. These Terms are drawn up in English. Any translation is for convenience; the English version prevails.
